Welcome to MediSeen HMS. These Terms of Service ("Terms") govern your use of our hospital management system and related services (collectively, the "Service") provided by MediSeen Health Systems Limited ("MediSeen," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree, do not use the Service.

1. Service Description

MediSeen HMS is a cloud-based hospital management system designed for healthcare facilities in Nigeria. The Service includes patient management, billing, pharmacy, laboratory, and other healthcare administration features.

2. Eligibility

The Service is intended for licensed healthcare facilities and their authorized personnel. By using the Service, you represent that:

You are at least 18 years old
You have the authority to bind your organization to these Terms
Your facility is legally authorized to provide healthcare services in Nigeria

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Transmit malicious code or interfere with the Service
Attempt to gain unauthorized access to any systems
Use the Service for any purpose other than healthcare administration
Share login credentials with unauthorized individuals
Enter false or misleading patient information

5. Patient Data Responsibilities

As a healthcare provider using our Service:

You are the Data Controller for patient information entered into the system
You are responsible for obtaining appropriate patient consent
You must comply with all applicable healthcare privacy laws
You must ensure staff are trained on proper data handling
MediSeen acts as a Data Processor on your behalf

6. Subscription and Payment

Pricing: Current pricing is available on our website. Prices are in Nigerian Naira (₦) and exclude applicable taxes.

Billing: Subscriptions are billed in advance on a monthly, quarterly, or annual basis depending on your chosen plan.

Payment: Payments are processed through Paystack. By providing payment information, you authorize us to charge the applicable fees.

Refunds: We offer a 14-day money-back guarantee for new subscriptions. After this period, refunds are provided on a pro-rata basis at our discretion.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for:

Scheduled maintenance (with advance notice)
Emergency repairs
Circumstances beyond our control

The offline functionality allows continued operation during internet outages.

8. Data Backup and Recovery

We perform regular automated backups of your data. However, you are encouraged to maintain your own backup procedures. We are not liable for data loss resulting from:

User error or intentional deletion
Malicious activity on your systems
Force majeure events

9. Intellectual Property

The Service, including its design, features, and content, is owned by MediSeen and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive license to use the Service. You may not copy, modify, distribute, or reverse engineer any part of the Service.

You retain ownership of all data you enter into the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "as is" without warranties of any kind
We are not liable for any indirect, incidental, or consequential damages
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
We are not responsible for clinical decisions made using the Service

11. Indemnification

You agree to indemnify and hold harmless MediSeen from any claims, damages, or expenses arising from:

Your use of the Service
Violation of these Terms
Violation of any third-party rights
Patient complaints related to your healthcare services

12. Termination

By You: You may cancel your subscription at any time. Access continues until the end of the paid period.

By Us: We may suspend or terminate your access for:

Violation of these Terms
Non-payment of fees
Fraudulent or illegal activity

Data Export: Upon termination, you may request export of your data within 30 days.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Rivers State, Nigeria.
